About this procedure
A limited liability company may be formed by one or more founders. The minimum declared capital is one million Iraqi dinars, deposited in an Iraqi bank before registration.
Once registered, the company must also enrol with the General Commission for Taxes and the social security department.
Steps to follow
Reserve the trade name
Submit three candidate names; the department checks them against the register and reserves the first available one.
Draft and notarise the articles of association
The articles must state the objects, capital, shareholding and management structure, and be notarised.
Deposit the capital
Deposit the declared capital in an Iraqi bank and obtain the bank's confirmation letter.
Submit the incorporation file
File the articles, bank letter, founders' identity documents and the lease of the registered office.
Receive the certificate of incorporation
The certificate carries the company registration number used in all subsequent dealings.
Register for tax and social security
Enrolment with the tax commission must be completed within thirty days of incorporation.
